Terms of Service
These Terms of Service (“Terms”) are an agreement between Vondris Sdn. Bhd. (“Vondris”, “we”, “us”) and the business or organisation that signs up for or uses the Vondris service (“Customer”, “you”). By creating an account, signing an order form or using the Service, you agree to these Terms. If you accept on behalf of a business, you confirm you are authorised to bind it.
1. The Service
Vondris provides a WhatsApp front desk for your business (the “Service”). An AI assistant answers WhatsApp conversations using information you provide, books and manages appointments in your connected calendar, sends confirmations, reminders and follow-ups, and hands conversations to your staff. Your staff can record attendance and payments, and the Service shows you which enquiries and ads led to visits and revenue. If you turn it on, the Service also reports limited conversion events to Meta (see section 7). Features may differ by plan and may change over time. We will not materially reduce the core functionality of a paid plan during a paid term without notice.
2. Accounts
- You must give accurate information and keep it up to date.
- You are responsible for your users, for keeping login details secure and for all activity under your account. Tell us promptly at privacy@vondris.io if you suspect unauthorised access.
- The Service is for businesses only, not for personal or household use.
3. Your responsibilities
You agree that you will:
- use the Service only in compliance with applicable laws, including the Personal Data Protection Act 2010 and any rules that apply to your profession or industry;
- have a lawful basis, and give any notices and obtain any consents required, for us to process the personal data of your customers, patients and contacts through the Service, including for sending messages and, if you turn it on, reporting events to Meta;
- send promotional messages only to people who have opted in, and respect opt-outs;
- keep the information the AI assistant uses (hours, services, prices, practitioners, policies) accurate and current, and record attendance and payments accurately;
- comply with the terms and policies of connected platforms, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, Meta’s Business Tools Terms and Google’s terms;
- keep using the WhatsApp Business app on your connected number, if you connected it alongside the app, so the connection stays active;
- not use the Service to send spam or unsolicited messages, impersonate anyone, or handle emergencies;
- not attempt to reverse engineer, overload, disrupt or gain unauthorised access to the Service, or resell it without our written consent.
We may suspend access if your use breaches these Terms or creates a security, legal or platform risk, including a risk to your WhatsApp number’s standing. Where reasonable, we will tell you first and give you a chance to fix the issue.
4. AI limitations
- The Service uses artificial intelligence. It can misunderstand messages or give incorrect answers. You should review bookings and conversations and set up handover to staff for anything important.
- The AI assistant is not a medical, clinical, legal or financial adviser and is configured to pass such questions to your staff. It is not presented as a physiotherapist, doctor or other practitioner. You remain responsible for advice and care given to your customers and patients.
- The Service is not an emergency service. People with emergencies must contact emergency services directly.
5. Third-party services
The Service connects to third-party services such as WhatsApp and the Conversions API (Meta), Google Calendar and AI model providers. Your use of those services is also governed by their terms. We are not responsible for third-party services, their availability, changes they make, or decisions they take about your accounts (for example, Meta restricting a WhatsApp number or limiting events for certain ad accounts), though we will work to keep the Service compatible. Connecting your Google account is optional and you can disconnect it at any time; see our Privacy Policy for how we handle Google user data.
6. Fees and payment
- You agree to pay the fees for your plan as shown at sign-up or in your order form. Unless stated otherwise, fees are billed in advance, monthly or annually, and renew automatically until cancelled. A free pilot period, if any, is set out in your order form.
- Meta charges WhatsApp messaging fees directly to your WhatsApp Business Account. You are responsible for those fees and for keeping a valid payment method with Meta.
- Fees are exclusive of taxes. You are responsible for applicable taxes, including sales and service tax and any withholding tax. If you must withhold tax, you will gross up the payment so we receive the full fee, unless we agree otherwise.
- If payment is overdue, we may suspend the Service after giving you at least 7 days’ notice.
- We may change prices for future billing periods with at least 30 days’ notice. Fees already paid are non-refundable except where these Terms or the law say otherwise.
7. Data and privacy
- You own the data you and your customers provide through the Service (“Customer Data”). You give us permission to use Customer Data only to provide, secure, support and improve the Service, and as described in our Privacy Policy.
- For personal data of your customers and patients, we act on your behalf and process it under your instructions. We will keep it confidential, protect it with appropriate security measures, use service providers bound by similar obligations, and notify you without undue delay of a personal data breach affecting it.
- Reporting to Meta is off until you turn it on. When it is on, we send only the event type, time, amount and currency, and Meta’s click identifier, as described in the Privacy Policy. We never send treatment or service names, health information or message content.
- We do not sell Customer Data, and we do not use it to train generalised AI models.
- After your account ends, you may export your data for 30 days. We then delete or anonymise Customer Data within a further 30 days, except where law requires us to keep it.
- We may use aggregated, anonymised information that does not identify you or any individual to operate and improve the Service.
8. Intellectual property
Vondris and its licensors own the Service, including its software, models, prompts, templates and documentation. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. If you send us feedback, we may use it without obligation to you.
9. Term and termination
- These Terms apply from when you first use the Service until your subscription ends.
- You can cancel at any time in your account settings or by emailing us. Cancellation takes effect at the end of the current billing period.
- Either party may terminate immediately by written notice if the other materially breaches these Terms and does not fix the breach within 14 days of being notified.
- When the Service ends, we disconnect from your WhatsApp number. Your number and the WhatsApp Business app keep working.
- Sections that by their nature should survive termination (including fees owed, data, intellectual property, liability, indemnity and governing law) continue to apply.
10. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, and to the extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all other warranties, express or implied, including fitness for a particular purpose. We do not guarantee that the Service will be uninterrupted or error-free, that every message will be answered or every booking made correctly, or any particular result from your advertising.
11. Limitation of liability
- To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, goodwill or data, however caused.
- Each party’s total liability arising out of or relating to these Terms in any 12-month period is limited to the fees paid or payable by you for the Service in that period.
- These limits do not apply to your payment obligations, to either party’s indemnity obligations, or to liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify Vondris against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms or the law, or your failure to obtain notices or consents you are responsible for. We will defend and indemnify you against third-party claims that the Service, used as permitted, infringes their intellectual property rights.
13. Governing law and disputes
These Terms are governed by the laws of Malaysia. The parties will first try to resolve any dispute in good faith. If that fails, the courts of Kuala Lumpur, Malaysia have exclusive jurisdiction.
14. General
- Changes. We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the Service. Continued use after the effective date means you accept the updated Terms.
- Order forms. If you sign an order form with us, it prevails over these Terms where they conflict.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including outages of third-party platforms.
- Entire agreement. These Terms, any order form and the Privacy Policy are the entire agreement between us about the Service. If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
- Notices. We send notices to the email on your account. Send notices to us at privacy@vondris.io or our registered address.
